position of content Placeholder

Question

I have 2 div in my web site as Div1 and Div2. The position of Div1 is fixed.  The Div2 Contains a content Placeholder. 

After scrolling the content placeholder should go underneath of Div1. But it is scrolling above Div1.

Please suggest the solution.
